Panel I will provide an overview of judicial elections and issues that can arise from campaign contributions in these elections. Panel II will detail how corporations respond to these ethical challenges. Corporate Integrity cannot be taken for granted. Pitfalls abound even for well intentioned corporations. In this unrehearsed program, Dean John Elliott, and Professors Lilach Nachum, and Michael Stauffer constituted the board of directors of a company doing significant business outside the US. Ronald Goldstock, Independent Private Sector Inspector General, posited a situation based on an actual situation at Chiquita Banana Company that received considerable press attention subsequently. The board’s discussions illustrated the difficulties of avoiding ethical and legal pitfalls.

Shareholder Activism was the first panel in the Robert Zicklin Center for Corporate Integrity Corporate Governance Series. This session addressed the current call for increased shareholder power. The panel discussed shareholder activism from the perspective of directors, managers and shareholders themselves. We also considered proposed changes in the law of corporate governance that would give shareholders greater influence in corporate decision making.

This all day conference provided a forum for interaction between business and accounting executives and policy setters from the U.S. Securities and Exchange Commission (SEC) and the Financial Accounting Standards Board (FASB). The conference focused on integrity problems resulting from complexity in financial reporting and fair value implementation. Program highlights included addresses by Robert Herz, Chairman of the Financial Accounting Standards Board, Conrad Hewitt, Chief Accountant of the Securities and Exchange Commission and Thomas Ray, Chief Auditor of the Public Companies Accounting Oversight Board. This conference examined the financial, operational, and human resources impact of a bird flu pandemic for government and U.S. businesses. Questions addressed included: How will medical care be provided for a substantial percentage of the population? How will essential services (power, transportation, and communications) be maintained? Do corporations have an ethical obligation to allow employees to stay home? If staff works from home without the same access to data and information that they would have at the office, is this ethical? Do businesses have a moral obligation to pay employees quarantined at home?
